"Terms of Use").
The following "Terms and Conditions"
govern your use of this website (comprising www.corporate
equity.com and referred to as the "Site"). In case you don't
agree to be bound by these terms and conditions, you must
exit the Site immediately. Your continued viewing or use of
this site will constitute your agreement, on behalf of
yourself and any entity on whose behalf you are acting, to
all of the Terms and Conditions. The Terms and Conditions
may be modified in the sole discretion of Corporate Equity
Partners AG ("CEP") at any time without further notice, and
your subsequent viewing or use of the Site will constitute
your agreement to the Terms of Use then in effect.
Additional terms and conditions may appear elsewhere on this
Site with regard to the use of particular documents,
presentations, functions, features, information and
applications and your accessing or use of the applicable
documents, presentations, function, feature, information or
application, will constitute your agreement with such
additional terms and conditions.
Paragraph 1. Use
The purpose of this Site is to provide information about CEP
to the public and to allow current and potential customers
to interact with CEP. The Site is also a reference for
current and prospective CEP customers, providing information
on various products and services available from CEP and its
affiliated companies or divisions. Any use of this Site by
any other person or entity for any purpose is prohibited and
CEP bears no liability or responsibility for any such
prohibited use.
Prospective CEP customers may only access general
information about CEP's services.
CEP specifically prohibits any use of the Site by or for any
entity which is engaged in, or attempts to engage in, use of
the Site to compete with CEP or its affiliates or to
interfere with the business of CEP or its affiliates. Any
access of this web site to obtain information by automated
inquiry devices or programs, is strictly prohibited.
Any personal information submitted to CEP through this Site
will be handled in accordance with CEP's confidential. Any
other information submitted to CEP through this Site,
including any ideas, concepts, or techniques for new
services or products, will not be considered confidential
and CEP will be free to use, communicate, and exploit such
information in any manner it chooses.
Paragraph 2. Customer registration
CEP may add additional features and services to the Site for
use by CEP customers, or may change the existing features
and services. Non-customers may choose to register with the
Site for purposes of receiving a newsletter subscription, or
accessing other features that may be added to the Site in
the future. If you do not so register, you will be unable to
use the benefits of such program or feature.
By registering with the Site, you agree to provide accurate
and current information about yourself as initially
requested by CEP, and further agree to maintain and promptly
update your information. You agree to not to impersonate any
person or entity, misrepresent any affiliation with any
other person, entity or association, or otherwise conceal
your identity from CEP for any purpose. If any information
provided by you is inaccurate or not current, or if CEP has
reasonable grounds to suspect that such information is
inaccurate or not current, CEP may suspend or terminate your
registration and access to the Site. CEP is not obliged to
provide advance notice of such suspension or termination.
Paragraph 3. Changes to corporate-equity.com
CEP reserves the right, without notice, to modify,
supplement or delete the contents of the Site, including
without limitation, the information (including, without
limitation, statistical, performance or valuation-related
information, financial market data, quotes, news, analyst
opinions, market commentary, and research reports), graphics,
products, features, functionality, services, and links (collectively,
the "Content").
Paragraph 4. Term
CEP may discontinue or suspend the Site at any time without
notice, and CEP may block, terminate or suspend access by
you or any other user to the Site at any time for any reason
in its sole discretion, even if access continues to be
allowed to others.

The Site and its Content are protected by international
copyright, trademark and other laws. All rights reserved.
Certain Content may be owned by third parties and used on
the Site with their permission. CEP is not and does not
convey to anyone any ownership rights in the Site or in any
Content appearing on or made available through the Site. You
are only granted a restricted license to reproduce the
Content on your computer for the purpose of accessing the
Site and using the features and services accessible thereon.
You are also granted a license to print information
appearing on your computer screen in the course of using the
features and services of the Site. The licenses granted
herein are personal to you and not transferable.
No other permission is granted in any way to download,

licensors disclaim any
and all warranties, express or implied, including without
limitation, the regarding completeness
of any such content and your
ability or inability to use the site and its content. CEP is
not responsible for any failures or missing information
caused by server errors, failed internet connections,
interruptions in the transmission or receipt of any
information or any computer virus or other technical defect
whether human or technical in nature. Although CEP attempts
to provide accurate and timely information on the site,
there may be inadvertent technical or factual inaccuracies
or typographical errors.
Paragraph 7. Limitation of Liability
Your express acknowledgement that your use of the Site and

content appearing thereon is at your own risk. In no event
whatsoever will CEP or any of its affiliates, subsidiaries,
officers, directors, employees, representatives or agents be
liable to you or any person or entity claiming through you
for any direct, indirect, consequential, incidental or other
damages, costs or legal fees under any concept of law or
regulation for any errors in, or the use of, or inability to
use this Site or its content including without limitation
damages for lost profits, business, data, or damage to any
computer systems, even if you have advised CEP of the
possibility of such damages.
Because some jurisdictions prohibit the limitation of
liability for consequential or incidental damages, in such
jurisdictions, the limitation of liability only with respect
to consequential or incidental damages may not apply to you,
and the respective liability of CEP and its affiliates,
officers, directors, employees or agents is limited to the
greatest extent allowable under applicable law in such
jurisdictions.
In the event that a court or arbitration panel should hold
that the limitations of liabilities or remedies available as
set forth in these Terms of Use, or any portions thereof,
are unenforceable for any reason, or that your remedies
under these Terms of Use fail, then you expressly agree that
under no circumstances will the total, aggregate liability
of CEP and its subsidiaries, affiliates, officers, directors,
employees, representatives or agents to you or any party
claiming by or through you for any cause whatsoever exceed
CHF100.00, regardless of the form of action, whether in
contract, statute, tort or otherwise.
Paragraph 8. Indemnification
You hereby release, and agree to indemnify and hold harmless
CEP and its affiliates and their respective officers,
directors, employees and agents from any and all claims,
demands, causes of actions, liabilities, damages, costs and
expenses, including reasonable attorneys' fees, arising out
of your use or viewing of the Site and its Content.
Paragraph 9. Links
There may be links on this Site that allow you to visit the
sites of third parties. Although some of these third parties
are either affiliates of or distributors for CEP, neither
these sites nor the companies to whom they belong are
controlled or monitored by CEP. CEP makes no representations
or endorsements concerning the information provided or made
available on such sites nor the quality or acceptability any
non-CEP products or services offered by any persons or
entities referenced in any such sites. CEP has not tested
and makes no representations regarding the correctness,
performance or quality of any software found at any such
sites. You should research and assess the risks which may be
involved in accessing and using any software on the Internet
before using it. You should also be careful to ensure that
you do not provide any personal information on any other
site on the mistaken belief that you are on the Site.
Paragraph10. Export of Information
You assume all responsibility for compliance with all laws
and regulations of Switzerland and any other country from
which you may access the Site regarding access and use of any Content appearing on or available
through the Site. You acknowledge and agree that you will
not export or import any Content to any country to which
export or import is restricted under Swiss law, that you are
not a national of any such country, and that the Content
will not be used for any unlawful conduct or purpose under
the laws of any relevant local jurisdiction.
Paragraph11. Governing Law
This Agreement and your use of the Site is governed by and
construed in accordance with the laws of Switzerland,
excluding its conflict of laws provisions. If for any reason
a court of competent jurisdiction finds any provision of
this Agreement, or a portion thereof, to be unenforceable,
that provision shall be enforced to the maximum extent
permissible and all other terms of this Agreement shall
remain in full force and effect. Any cause of action with
respect to this Site or this Agreement must be instituted
within one year after the claim or cause of action has risen,
or be barred and must be brought in a court of competent
jurisdiction within Zug, Switzerland.
This Agreement may not be changed or modified without the
written consent of CEP.
